Terms and conditions

1.            Scope of Application

The following General Terms and Conditions—as in effect at the time of the order—shall apply exclusively for the business relationship between AIxMedical UG (haftungsbeschränkt), Trevererstraße 8, 52074 Aachen (“AIxMedical”) and the customer (“Customer”). Deviating terms proposed by the Customer do not apply unless AIxMedical expressly agrees to their applicability in writing.

2.            Scope

    2.1. The Scope of the services offered by AIxMedical includes online courses, seminars and trainings, as well as individual coaching sessions and consultation meetings in accordance with the detailed specifications set forth in the respective service description.

    2.2. None of the information provided shall be construed as medical advice or a recommendation for any medical intervention.

3.            Conclusion of the Contract

    3.1. On the AIxMedical portal, accessible at www.aixmedical.com, the Customer may select from the offered courses, seminars, and coaching sessions (each a “Service”).

    3.2. When the Customer selects a Service, they will be directed to a page providing further details about that Service.

    3.3. By clicking the “Register now” button/link, the Customer can initiate the registration process from the detail page or, in some cases, directly from the overview page.

    3.4. The Customer is first directed to an input form where they are requested to enter their basic data (name, contact details, and any other case-specific information relevant to the provision of the Service). Any errors in the input may be corrected at any time by reselecting the respective field.

    3.5. By clicking the “binding order with payment obligation[BAB1] ” button, the Customer makes a binding offer for the paid booking of the Service(s) contained in the shopping cart. Prior to submitting the order, the Customer may review and modify the entered data at any time. However, the offer can only be submitted and transmitted if the Customer confirms these contractual conditions by ticking the checkbox labeled “accept Terms and Conditions,” thereby incorporating the content of these General Terms and Conditions into their offer.

    3.6. AIxMedical shall then send the Customer an automatic order acknowledgment by email, which lists the Customer’s order and may be printed by Customer using the “Print” function. This automatic order acknowledgment merely documents that the Customer’s order has been received by AIxMedical and does not yet constitute an acceptance of the offer.

    3.7. In the case of payment via Stripe using PayPal, credit card, Apple Pay, or Google Pay, the contract is concluded upon Customer’s receipt of the payment request sent by AIxMedical. In all other cases, the contract is concluded either by AIxMedical’s submission of an acceptance declaration via a separate email (order confirmation) or by sending the Customer an email with the dial-in/access data for the respective Service. The above payment methods can be used without additional costs charged by AIxMedical. In this order confirmation—or in a separate email, but in any event no later than when the Service is provided—the contract text (consisting of the order, these Terms and Conditions, and the order confirmation) will be sent to the Customer on a durable medium (email or printed paper) (contract confirmation).

    3.8. The contract shall be concluded in the English language.

4.            Nature and Timing of Service Delivery

    4.1. The Services shall be provided on the dates specified in the respective service description, unless otherwise agreed with the Customer.

    4.2. In cases where Services are offered remotely, it is the Customer’s responsibility to ensure that the necessary technical prerequisites (e.g. internet connection, conferencing software, pc hardware with speakers, camera, and microphone) for participation are in place.

5.            Prices and Shipping Costs

    5.1. All prices displayed on the AIxMedical website include the applicable statutory value-added tax.

    5.2. Unless expressly stated otherwise, no shipping costs apply. This applies also in the event of a withdrawal in accordance with Sec. 355 German Civil Code (Bürgerliches Gesetzbuch).

6.            Payment Modalities

    6.1. Only the payment methods shown to the Customer during the ordering process are accepted (currently these are PayPal, Apple Pay, Google Pay, credit card payment, as well as advance payment).

    6.2. Payment of the purchase price is due immediately upon conclusion of the contract. If the due date for payment is determined by the calendar, the Customer shall be in default as soon as the deadline is missed.

7.            Copyright

    7.1. If Customer receives any course materials (PowerPoint presentation, other resources), the Customer is granted a non-exclusive, non-transferable, non-sublicensable, right to use these materials solely for the purpose of the Customer’s personal continuing education.

8.            Warranty for Material Defects, Guarantee

    8.1. AIxMedical shall be liable for any defective performance in accordance with the statutory provisions applicable thereto.

9.            Liability

    9.1. Claims by the Customer for damages are excluded. This exclusion shall not apply to claims for damages by the Customer arising from injury to life, body, or health, or from the breach of essential contractual obligations (cardinal obligations), as well as to liability for any other damages resulting from a willful or grossly negligent breach of duty by AIxMedical, its legal representatives, or vicarious agents. Essential contractual obligations are those whose fulfillment is necessary for achieving the purpose of the contract.

    9.2. In the event of a breach of essential contractual obligations, AIxMedical shall only be liable for the typical, foreseeable damage, provided that such damage was caused by simple negligence, unless the damage claims of the Customer arise from injury to life, body, or health. The typical, foreseeable damage corresponds to the remuneration paid for the respective Service.

    9.3. The limitations set forth in Sections 9.1 and 9.2 shall also apply in favor of AIxMedical’s legal representatives and vicarious agents if claims are made directly against them.

    9.4. The provisions of the Product Liability Act remain unaffected.

10.      Right of Withdrawal

    10.1. Consumers entering into a distance contract have a statutory right of withdrawal, about which AIxMedical shall inform in accordance with the statutory model below.

You have the right to withdraw from this contract within fourteen days without providing any reason.

The withdrawal period is fourteen days from the day of the contract’s conclusion.

To exercise your right of withdrawal, you must inform us (AIxMedical UG (haftungsbeschränkt), Trevererstraße 8, 52074 Aachen, Email: info@aixmedical.com) of your decision to withdraw from this contract by means of a clear declaration (for example, a letter sent by post or an email). You may use the model withdrawal template below, although its use is not mandatory.

To meet the withdrawal deadline, it is sufficient for you to send your notification regarding the exercise of the right of withdrawal before the period expires.

Consequences of Withdrawal

If you withdraw from this contract, we shall refund all payments received from you, including delivery costs (with the exception of any additional costs resulting from your choice of a delivery method other than the least expensive standard delivery offered by us), immediately and in any event no later than fourteen days from the day on which we receive your notification of withdrawal from this contract. For such reimbursement, we will use the same means of payment that you used for the initial transaction, unless expressly agreed otherwise with you; in no event shall any fees be charged to you as a result of such reimbursement.

If you have requested that the Services commence during the withdrawal period, you shall pay us an appropriate amount corresponding to the portion of the Services provided up to the time at which you notify us of your withdrawal from this contract.

11.      Final Provisions

    11.1. Contracts between AIxMedical and the Customer shall be governed by the law of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods and the provisions on international private law. The statutory provisions on the limitation of choice of law and on the applicability of mandatory customer protection provisions, particularly those of the state in which the Customer, as a consumer, has their habitual residence, remain unaffected.

    11.2. The place of performance shall be the registered office of AIxMedical. Insofar as the Customer is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the Customer and AIxMedical shall be the registered office of AIxMedical. This also applies to all Customers who do not have a general jurisdiction in Germany.
